1. This agreement

These Terms of Service (the “Terms”) govern access to and use of Postver (the “Software”), the website at postver.com, and any evaluation, preview, documentation or assistance provided alongside it. Postver is owned and supplied by Riskamy Solutions Pvt Ltd, an Indian company (“we”, “us” or “our”).

By downloading, installing, previewing or using the Software, or submitting an enquiry through this website, you agree to these Terms. If you act on behalf of a company or other organisation, you confirm that you have authority to bind it, and “you” means that organisation. If you do not agree, do not install or use the Software.

Your accepted order form, quotation or other written agreement sets out the commercial scope of your licence. If a signed agreement expressly conflicts with these Terms, that agreement prevails for the relevant subject matter.

2. About the software

Postver is AI software for procurement, from request to reconciliation, designed to be installed and run in an environment you control: your servers, private cloud or other agreed infrastructure.

  • Your invoices, purchase orders, supplier records, contracts, documents, approval history and user accounts are held in your configured environment.
  • We do not routinely receive or have access to your installation, database or procurement records. You may choose to give us access or share material for support or evaluation.
  • You are responsible for hosting, networking, access controls, backups, disaster recovery and the security of your environment, except to the extent we expressly agree otherwise in writing.
  • ERP, purchasing, identity, mailbox and AI connections follow your deployment configuration and the relevant providers’ terms.

3. Previews and evaluation

A demonstration, preview or evaluation is for your internal evaluation only. Its scope, duration and any charges are agreed with you in writing before it starts. Any free preview is provided strictly “as is”; sections 10 and 11 apply to it in full.

Continued use beyond the agreed evaluation requires a paid licence. Licence fees, the licence term and any agreed discount are set out in the applicable order form or quotation.

If you do not proceed, stop using the Software and remove the evaluation installation when the evaluation ends. Your data remains yours and you may export it before doing so.

4. Licence grant

Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable licence for the agreed term to install and use the Software for your own internal business purposes.

Employees, contractors and professional advisers may use it on your behalf if they are bound by obligations no less protective than these Terms. Postver does not charge per-seat fees. Your order form specifies the covered entities, installations, invoice volume or usage model, and any non-production environments.

Pricing may be per invoice or a flat annual fee. An unlimited-invoice entitlement applies where included in your agreed annual licence; it does not override the pricing or scope of a per-invoice order. The Software is licensed, not sold. All rights not expressly granted are reserved.

5. What you may not do

You may not, and may not allow anyone else to:

  • Copy, distribute, resell, rent, lease, sublicense or make the Software available outside your organisation except as your written agreement permits.
  • Offer the Software, or a material part of it, as a hosted or managed service to third parties.
  • Reverse engineer, decompile, disassemble or attempt to derive its source code, except where applicable law expressly permits this despite the restriction.
  • Remove, obscure or alter copyright, trade mark or other proprietary notices.
  • Use it unlawfully or process information you have no right to hold.
  • Circumvent licence keys, entitlement checks or agreed usage limits.
  • Use it to build a competing product, or publish benchmarking results, without our prior written consent.

6. Intellectual property

The Software, this website, our documentation and the Postver name, logo and branding are owned by Riskamy Solutions Pvt Ltd or its licensors and protected by intellectual property laws. These Terms transfer no ownership to you.

Your data remains yours. Invoices, purchase orders, contracts, supplier records, approval records, reports and other content you create or upload remain your property. We claim no ownership over them. If you deliberately share data with us for support or evaluation, we use it for that agreed purpose, subject to the applicable agreement and our Privacy Policy.

We may use feedback, suggestions and feature requests you send us to improve the Software without obligation or payment to you.

7. Support

Support scope and response commitments are set out in your order form or quotation. Unless otherwise agreed in writing, we provide reasonable email assistance with installation, upgrades, configuration and migration of existing procurement records during normal business hours, together with access to documentation and updates released during your licence term.

Support does not include operating your infrastructure, network, identity provider, ERP, purchasing platform or AI provider, or recovering data lost because of a failure in your environment.

8. Your data and your AI provider

Postver can use AI to read documents, draft content and suggest actions. The model and data route are configured for your deployment. Depending on the agreed setup, this may use an external provider or a model running within your own environment.

You are responsible for approving the configured destinations and deciding whether a provider’s terms, pricing and data-handling practices are suitable for the information involved. Using an internal model does not by itself change the destinations configured for ERP, mailbox or other connections.

AI output is assistive. Review it before relying on it. Procurement decisions, approvals, accounting, payment instructions and sign-offs remain your organisation’s responsibility, whether a person acts or an authorised, published rule executes a decision. Your organisation remains responsible for configuring those rules and controls.

9. Third-party services

Postver can connect to third-party systems such as NetSuite, Coupa, your identity provider, mailbox, storage, bank-related workflows and AI provider. You configure or authorise those connections. The relevant providers’ terms govern their services, and we are not responsible for their availability, security or conduct.

The Software includes open-source components licensed under their own terms. Those terms prevail for the relevant component to the extent of any conflict. A list is available on request.

10. No warranty

To the fullest extent permitted by law, the Software, website and any preview, evaluation or assistance are provided “as is” and “as available”, without express, implied or statutory warranties, including merchantability, fitness for a particular purpose, title or non-infringement.

We do not warrant uninterrupted or error-free operation, suitability for every requirement, or compliance with any law, regulation or standard. Postver supports procurement and finance workflows; it is not legal, regulatory, audit, tax or financial advice, or a substitute for professional judgement. Preparing or downloading a payment file is not evidence that a bank has executed a payment.

11. Limitation of liability

To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or loss of profit, revenue, goodwill, business opportunity, anticipated savings or data, however caused and on any theory of liability, even if advised of the possibility.

Our total aggregate liability arising from or connected with these Terms, the Software, website or related acts or omissions, whether in contract, tort including negligence, statute or otherwise, will not exceed the greater of:

  • The fees you paid us for the Software in the twelve months immediately before the event giving rise to liability; and
  • INR 10,000.

For free use, including a free preview or evaluation, our total aggregate liability will not exceed INR 10,000. These limits apply only to the extent permitted by law. Nothing excludes liability that cannot lawfully be excluded, including fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

12. Term and termination

These Terms apply from your first installation, preview or use and continue while you use the Software. Your licence runs for the term stated in the order form.

Either party may terminate for material breach not remedied within thirty days of written notice. We may suspend or terminate immediately for a breach of section 5 that cannot be remedied.

On termination or expiry, stop using the Software and remove it from your environment. Your data stays under your control; you are responsible for exporting, retaining or deleting it. Sections 6, 9, 10, 11, 12, 13 and 15 survive termination to the extent needed to give them effect.

13. Governing law and jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-law rules. The competent courts in India have exclusive jurisdiction over disputes arising from or connected with these Terms, and both parties submit to that jurisdiction.

14. Changes to these terms

We may update these Terms to reflect changes to the Software or the law. We will update the date at the top of this page and notify you by email of a material change affecting an active licence.

Changes apply from publication. Continuing use after that date means you accept the updated Terms. The version in force when your order form was signed governs that licence term unless we agree otherwise.
